Terms of Service
1. The service
Toolify LLC operates the Toolify platform, comprising SOLAR and T365, both live today, with ARCUS and BOM Builder planned for later this year. Our output is informational only and does not constitute legal or compliance advice. We recommend consulting a qualified Microsoft licensing professional to validate findings before taking action. Modules are activated individually per account. A client using only SOLAR is not required to accept data handling terms specific to modules that have not been activated on their account.
2. Your account
Access is by invitation only. You are responsible for keeping your login credentials secure. You may use any email address to register — we do not verify it.
3. Your data
You retain full ownership of all data you upload. We store it solely to provide the service and do not sell, share, or use it for any other purpose. On subscription expiry, data is retained for 90 days then permanently deleted.
4. What we collect
We collect data necessary to provide the service, scoped to the modules you use. This includes: account data (email address and company name) for authentication and communication; for SOLAR, technical infrastructure inventory (server names, core counts, operating system and SQL versions); and for T365, Microsoft 365 license, usage, and user identity data retrieved via the Microsoft Graph API under read-only permissions, which may include personal data about individual users in your organisation. Full detail on data collected per module, including what is explicitly never accessed, is set out on our Security & Data Handling page. This section will be updated as ARCUS and BOM Builder launch.
5. Acceptable use
You may not use Toolify to process data you do not have the right to process, attempt to reverse-engineer our systems, or upload malicious files. We may suspend accounts that violate these terms without prior notice.
6. Liability
The service is provided "as is." We make no warranties about accuracy or availability. Our total liability for any claim is limited to fees paid in the 3 months preceding the claim. We are not liable for indirect or consequential damages.
7. Subscription & payment
Subscriptions are billed as agreed at signup. We reserve the right to change pricing with 30 days’ notice. Unpaid accounts are suspended after 14 days. No refunds for partial periods.
8. Termination
You may cancel at any time. We may terminate your account for material breach. On termination, data is retained for 90 days then permanently deleted.
9. Changes
We may update these terms from time to time with 14 days’ notice by email. Continued use constitutes acceptance.
10. Governing law
These terms are governed by the laws of Delaware, USA. EU clients’ statutory rights under applicable EU law are not affected.
11. Data processing (DPA)
Toolify LLC is incorporated in the United States and acts as data processor on behalf of its clients, who remain the data controller. Where our processing involves personal data originating in the EU/EEA, this processing is governed by Standard Contractual Clauses (SCCs) as approved by the European Commission. All client data is hosted on servers located in the Netherlands. We do not engage sub-processors without prior client consent. This section, together with our Security & Data Handling page, constitutes our Data Processing Agreement under GDPR Article 28.
