Terms of Service
1. The service
Toolify LLC operates the Toolify platform and its modules, including SOLAR, T365, ARCUS, and BOM Builder. Our output is informational only and does not constitute legal or compliance advice. We recommend consulting a qualified Microsoft licensing professional to validate findings before taking action.
2. Your account
Access is by invitation only. You are responsible for keeping your login credentials secure. You may use any email address to register — we do not verify it.
3. Your data
You retain full ownership of all data you upload. We store it solely to provide the service and do not sell, share, or use it for any other purpose. On subscription expiry, data is retained for 90 days then permanently deleted.
4. What we collect
We collect technical, non-personal data: server names, CPU and core counts, operating system versions, SQL instance details, and similar inventory information. We also collect the email address and company name you provide at registration for authentication and communication purposes only.
5. Acceptable use
You may not use Toolify to process data you do not have the right to process, attempt to reverse-engineer our systems, or upload malicious files. We may suspend accounts that violate these terms without prior notice.
6. Liability
The service is provided "as is." We make no warranties about accuracy or availability. Our total liability for any claim is limited to fees paid in the 3 months preceding the claim. We are not liable for indirect or consequential damages.
7. Subscription & payment
Subscriptions are billed as agreed at signup. We reserve the right to change pricing with 30 days’ notice. Unpaid accounts are suspended after 14 days. No refunds for partial periods.
8. Termination
You may cancel at any time. We may terminate your account for material breach. On termination, data is retained for 90 days then permanently deleted.
9. Changes
We may update these terms from time to time with 14 days’ notice by email. Continued use constitutes acceptance.
10. Governing law
These terms are governed by the laws of Delaware, USA. EU clients’ statutory rights under applicable EU law are not affected.
11. Data processing (DPA)
Where you are an EU-established business, Toolify LLC acts as data processor on your behalf. You remain the data controller. All data is stored in the EU/Netherlands. We do not engage sub-processors without your prior consent. This section constitutes a Data Processing Agreement under GDPR Article 28.
